Operator Terms of Service

For independent transportation operators listing services through the VOYUS marketplace.

๐Ÿ’ก The VOYUS Promise to Operators:

You set your rate. You keep your rate. VOYUS charges operators a 3.5% platform fee โ€” deducted from your deposit payout โ€” and that is the only fee that affects you. Customers are separately charged a 3.5% booking fee and, when paying by card, a 3.5% CC processing fee. Those customer fees never touch your rate or your payout.

Please read carefully. By creating an operator account on the VOYUS platform (operators.voyus.app) or listing any transportation service through VOYUS, you agree to be bound by these Operator Terms of Service, the Customer Terms of Service, and the Operator Privacy Policy. If you do not agree, do not use the platform.

About VOYUS & the Marketplace Model

VOYUS is an online group transportation marketplace that connects customers seeking charter transportation services with independent, licensed transportation operators like you. VOYUS is a technology platform โ€” we are not a transportation company, we do not own or operate vehicles, and we do not employ drivers.

As a marketplace, VOYUS provides the technology infrastructure for customers to discover, compare, request quotes from, and book transportation services offered by operators. You, the operator, are an independent business. You control your vehicles, your availability, your pricing, and the quality of your service. VOYUS facilitates the transaction; you deliver the experience.

Your independence is fundamental. Operators on the VOYUS platform are independent businesses, not employees, agents, or franchisees of VOYUS. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between you and VOYUS.

Operator Eligibility

To list services through the VOYUS marketplace, you must meet and maintain all of the following requirements at all times:

Ongoing obligation: Eligibility requirements are continuous. If your licensing, insurance, or compliance status changes at any time, you must notify VOYUS immediately and suspend any listings for affected vehicles or routes until compliant status is restored.

Account & Listing Requirements

Accurate Information

You agree to provide accurate, complete, and current information when creating your operator account and any vehicle or service listings. This includes:

Listing Accuracy

Listings must not misrepresent vehicle capacity, features, or service areas. You are responsible for keeping your listings current. VOYUS reserves the right to remove or modify listings that are inaccurate, misleading, or that violate these Terms.

Account Security

You are responsible for maintaining the confidentiality of your operator account credentials and for all activity under your account. Notify VOYUS immediately of any unauthorized access or suspected breach.

Pricing & the VOYUS Marketplace Fee

You Set Your Rate

Operators set their own transportation rates for each vehicle and service. VOYUS does not dictate, suggest, or impose transportation pricing on operators. Your rate is your rate.

โœ… How pricing works:

The price a customer sees at checkout = your operator rate + customer fees (booking fee + CC fee if applicable)

You receive your full operator rate minus VOYUS's 3.5% platform fee on the deposit portion. Your quoted rate is never changed and customer fees never affect what you earn.

What Customers Are Charged

At deposit checkout, customers are charged the following fees on top of your operator rate:

What Operators Are Charged

VOYUS charges operators a single marketplace fee:

This is the only fee you pay to VOYUS. It is deducted from the deposit portion that VOYUS remits to you โ€” not from the balance you collect directly from the customer.

Example (customer pays by card): You quote a trip at $1,000. The customer's 25% deposit checkout total = $250 (your deposit) + $35 booking fee + $35 CC fee = $320. You receive the $250 deposit minus the 3.5% platform fee ($8.75) = $241.25 payout from VOYUS. The customer then pays the remaining $750 directly to you.

Example (customer pays without a card): Same $1,000 trip. Deposit checkout = $250 + $35 booking fee = $285. You receive $250 โˆ’ $8.75 platform fee = $241.25 payout from VOYUS. Customer pays $750 remaining directly to you.

Rate Changes

You may update your rates at any time for future bookings. Rate changes do not affect already-confirmed bookings, which are honored at the rate quoted at the time of booking confirmation.

Deposits

Customers pay a 25% deposit to confirm a booking. This deposit is collected and processed by VOYUS. VOYUS remits the deposit to you (minus the 3.5% platform fee) per the payout schedule in Section 6. The remaining 75% balance is collected directly by you from the customer โ€” VOYUS is not involved in that transaction.

Booking Acceptance & Fulfillment

Responding to Inquiries

When a customer submits a booking inquiry that matches your listed services, you will be notified through the VOYUS operator portal. You agree to respond to inquiries in a timely manner โ€” generally within 24 hours for standard requests.

Accepting Bookings

By accepting a booking through the VOYUS platform, you enter into a service agreement with the customer and commit to providing the described transportation service at the quoted rate, on the agreed date and time, with the agreed vehicle.

Service Quality

You agree to fulfill every confirmed booking with:

Vehicle Substitutions

If the confirmed vehicle becomes unavailable due to mechanical failure or another emergency, you must notify VOYUS and the customer immediately. You may substitute a vehicle of equal or greater capacity and quality with customer agreement. Substitutions that materially downgrade the service may entitle the customer to a partial refund at VOYUS's discretion.

Payouts & Payment Schedule

Payout Structure

VOYUS processes and remits only the deposit portion of each booking. The 75% remaining balance is collected directly by you from the customer โ€” VOYUS is not involved in that payment.

Payout Timing

Deposit payouts are disbursed to your verified bank account within 3โ€“5 business days of booking confirmation.

Payment Method

Deposit payouts are made via ACH bank transfer to the verified bank account on file in your operator account. You are responsible for maintaining accurate payout account information. VOYUS is not liable for delays or failures caused by incorrect banking information.

Holds & Adjustments

VOYUS reserves the right to place a hold on or adjust a payout in the event of a disputed booking, customer complaint under investigation, chargeback, or violation of these Terms. We will notify you of any hold and provide an opportunity to respond.

Tax Responsibility

You are an independent business and are solely responsible for reporting and paying all applicable taxes on revenue received through the VOYUS platform, including income taxes and any applicable sales or use taxes. VOYUS may issue 1099-K forms as required by law.

Cancellations & No-Shows

Operator-Initiated Cancellations

Cancelling a confirmed booking harms customers and damages trust in the marketplace. If you must cancel a confirmed booking:

When an operator cancels, the customer receives a full refund of all amounts paid, including the deposit. VOYUS will attempt to source an alternative operator through the marketplace, though availability cannot be guaranteed.

Customer No-Shows

If a customer fails to appear at the agreed pickup location within 30 minutes of scheduled departure without prior notice, you may treat the booking as a no-show. Document the no-show through the operator portal. No-show revenue is handled per the standard cancellation policy; your payout for a no-show booking will be processed as a completed service.

Customer Cancellations

Customer cancellation policies are governed by the Customer Terms of Service. Your deposit payout is protected โ€” the 25% deposit collected by VOYUS is non-refundable and you retain your deposit payout (minus the platform fee) even when a customer cancels, per the schedule below. The 75% balance, which you collect directly, is subject to the following refund rules:

Conduct & Performance Standards

As a marketplace operator, your conduct reflects on the entire VOYUS platform and on the transportation industry. You agree to:

Performance Monitoring

VOYUS monitors operator performance through customer ratings, complaint records, cancellation rates, and response times. Operators who consistently fall below platform standards may receive warnings, reduced visibility in search results, or account suspension.

Account Suspension & Removal

VOYUS reserves the right to suspend or permanently remove any operator account at our discretion. Actions that may result in suspension or removal include, but are not limited to:

Notice & Appeal

In cases of suspension (as opposed to emergency removal), VOYUS will generally provide notice and an opportunity to respond before a final decision is made. Emergency removals (e.g., for safety, fraud, or legal compliance reasons) may be immediate without prior notice. Removed operators may appeal in writing to support@voyus.app within 30 days of removal notification.

Effect of Removal

Upon removal, all pending listings are deactivated. Confirmed upcoming bookings will be handled by VOYUS on a case-by-case basis, prioritizing customer protection. Payouts for completed services prior to removal will be processed per the standard schedule, subject to any holds related to the cause of removal.

Intellectual Property

The VOYUS name, logo, platform software, and all platform content are the property of VOYUS and are protected by applicable intellectual property laws. You may not use VOYUS trademarks, logos, or branding without prior written consent, except to accurately identify yourself as a participating operator on the VOYUS marketplace.

By submitting vehicle photos, descriptions, and other listing content, you grant VOYUS a non-exclusive, royalty-free, worldwide license to display, reproduce, and promote that content in connection with the platform's operations and marketing. You retain ownership of your content and warrant that you have the right to grant this license.

Limitation of Liability

VOYUS is a marketplace technology platform and is not a transportation carrier, operator, employer, or co-venturer. To the fullest extent permitted by law:

The platform is provided "as is" and "as available." VOYUS makes no warranty that the platform will be uninterrupted, error-free, or that listings will generate any specific volume of bookings.

Your responsibility: As an independent operator, you are solely responsible for the safe, lawful operation of your vehicles and services, for maintaining appropriate insurance, and for complying with all applicable laws and regulations. VOYUS is not a party to the transportation service contract between you and the customer.

Disputes & Governing Law

Operator-Customer Disputes

VOYUS encourages operators and customers to resolve disputes directly and in good faith. VOYUS may, at its discretion, mediate disputes through the platform but is under no obligation to do so. Where VOYUS mediates, our determination is final.

Disputes with VOYUS

Any dispute, claim, or controversy arising from or relating to these Operator Terms or your use of the platform shall first be submitted to VOYUS in writing at support@voyus.app for informal resolution. If the dispute is not resolved within 30 days, it shall be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) Commercial Arbitration Rules.

Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law provisions. The parties consent to the jurisdiction of courts in Florida for any matter not subject to arbitration.

Class Action Waiver

You waive any right to participate in class-action lawsuits or class-wide arbitration against VOYUS. All disputes must be brought on an individual basis.

Injunctive Relief

Notwithstanding the arbitration requirement, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property, confidential information, or to prevent irreparable harm.

Changes to These Terms

VOYUS reserves the right to modify these Operator Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and notify registered operators by email and through an in-platform notice.

Your continued use of the operator portal or continued listing of services after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must deactivate your listings and stop using the platform.

Changes to the marketplace transaction fee percentage will be communicated at least 30 days in advance and will apply only to bookings confirmed after the effective date of the fee change.
